Products and technical information described on the Website may be subject to export control laws and regulations of India, Japan, and other applicable jurisdictions (including the Foreign Trade (Development and Regulation) Act, 1992 and the Chemical Weapons Convention Act, 2000 of India). 15. Termination

16. Governing Law & Jurisdiction
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles.
Subject to the dispute resolution clause below, the competent courts at Gurgaon (Gurugram), Haryana, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with these Terms or the Website.
17. Dispute Resolution (Arbitration)
Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved through good-faith negotiation between the parties.
If the dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat and venue of arbitration shall be Gurgaon (Gurugram), Haryana, India; the language of arbitration shall be English; and the arbitral tribunal shall consist of a sole arbitrator mutually agreed by the parties (or, failing agreement, appointed in accordance with the said Act). The arbitral award shall be final and binding on the parties.
18. Severability & Entire Agreement
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced by an enforceable provision that most closely reflects the intent of the original.
These Terms, together with the Privacy Policy and Cookie Policy referenced herein, constitute the entire agreement between you and the Company regarding the use of the Website and supersede all prior agreements and understandings.
In the event of any inconsistency between the Japanese and English versions of these Terms, the English version shall prevail (this is required for interpretive purposes under Indian governing law).
